Terms of Service

These Terms of Service ("Terms") govern your use of https://nexoresfx.com and the related services (the "Service") operated by Nexores Commerce LTD ("NexoresFX", "we", "us"). By creating an account or using the Service you agree to these Terms.

1. The Service

NexoresFX lets you generate sound effects from text descriptions using AI models, preview them, store them in a personal library and download them. We may add, change or remove features at any time.

2. Accounts

You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for keeping your login credentials secure and for all activity under your account. Tell us immediately at support@nexoresfx.com if you suspect unauthorised use.

3. Credits, plans and payment

• Generations are paid for with credits. The credit cost is shown before you generate and is deducted only for generations that succeed.
• Free credits granted at sign-up are a promotional allowance and may be changed or withdrawn at any time.
• Subscription plans renew automatically until cancelled. Prices are shown on the pricing page and exclude applicable taxes unless stated otherwise.
• Refunds are handled according to our Refund Policy.

4. Your content and licence to generated audio

You retain ownership of the prompts you submit. Subject to these Terms and payment of applicable fees, we grant you a worldwide, perpetual, non-exclusive, royalty-free licence to use, reproduce, modify, distribute and publicly perform the audio you generate ("Output"), including for commercial purposes, in any media now known or later developed. You may not resell or redistribute Output as a standalone sound library or sample pack, or use Output to train machine learning models. Because AI models can produce similar results for similar prompts, we cannot guarantee that Output is unique, and we make no claim that Output is protectable by copyright in your jurisdiction.

5. Acceptable use

You agree not to:

• submit prompts or use Output that is unlawful, defamatory, harassing, or infringes the rights of others;
• attempt to imitate the voice or likeness of a real person without their consent;
• reverse engineer, scrape, overload or interfere with the Service or circumvent its limits;
• share accounts or resell access to the Service without our written permission;
• use the Service to build a competing text-to-audio product.

We may suspend or terminate accounts that violate these rules.

6. Third-party technology

The Service relies on third-party AI models and infrastructure. Availability, quality and characteristics of generated audio may change as those technologies evolve. We are not responsible for outages or changes caused by third parties but will make reasonable efforts to keep the Service running.

7. Intellectual property

The Service, including its software, design, branding and content (excluding your prompts and Output), is owned by Nexores Commerce LTD or its licensors and is protected by intellectual property laws. You receive only the limited rights expressly stated in these Terms.

8. Disclaimer of warranties

The Service and Output are provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that Output will meet your requirements.

9. Limitation of liability

To the fullest extent permitted by law, Nexores Commerce LTD will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or $100 if you have paid nothing. Nothing in these Terms limits liability that cannot be limited by law.

10. Indemnity

You will indemnify and hold harmless Nexores Commerce LTD and its officers, employees and agents from claims, damages and expenses (including reasonable legal fees) arising from your prompts, your use of Output or your breach of these Terms.

11. Termination

You may close your account at any time by contacting support@nexoresfx.com. We may suspend or terminate access for breach of these Terms, suspected fraud or abuse, or if required by law. Sections 4, 7 to 10 and 12 to 13 survive termination.

12. Governing law

These Terms are governed by the laws of United Kingdom, without regard to conflict-of-law rules. Courts located there have exclusive jurisdiction, except that consumers may benefit from mandatory protections of their country of residence.

13. Changes to these Terms

We may update these Terms. If the changes are material we will notify you on the Service or by email at least 14 days before they take effect. Continued use after that date means you accept the new Terms.
